ORDINARY GENERAL MEETING 2020
Dear Vorname,

We would like to remind you of the ordinary general meeting of the EBS Alumni e.V. on November 8, 2020, and cordially invite you on behalf of the entire Executive Board to participate.

It is no question that we will make sure to meet all restrictions and hygiene regulations regarding Covid-19 that will be in place at that time in Hesse. For that reason, we reserve the right to limit the number of participants who want to participate in the meeting on location. As an alternative we will, as usual, stream the general meeting via Zoom and give you the opportunity to ask your questions directly and also to take part in the elections via an online link in advance.

Board Election
All acting members of the Executive Board have - also due to the current situation - decided to stand for a re-election as a complete and well-coordinated team. However, the members of the Executive Board do not intend to preside over the Association for another complete term of office of two years. In case of their re-election, they intend to resign jointly after one year following directly the (postponed) 40th-anniversary celebration of the Association and the 50th-anniversary celebration of EBS in September 2021, so that they can hand over the official business to a newly composed Executive Board team in an orderly and well-prepared manner. With the expiration of the Association´s special veto rights as a shareholder of EBS in August 2021 the Board of Management team considers its role started in June 2016 as a companion of our Alma Mater in the context of the sale of EBS University to the SRH Foundation as the new university sponsor, to be fulfilled. 

To prepare for an early transition, the Executive Board would be pleased to enter into conversations with potential interested candidates for an Executive Board position at an early stage and, if possible, to cooperate already on various projects. If you are interested in the work of the board of the Alumni Association, please contact a member of the board and get already involved. You can take over a smooth-running organization with a great office team but there are also a lot of projects and new ideas to implement - a breath of fresh air is desired! No matter if you are interested in the role of the president, the treasurer, in the area of events or student financing and the academic foundation: We are looking forward to your input.

Request of the Executive Board to define a budget to support students of EBS Universität who have gotten into difficulties through no fault of their own
"The Executive Board requests the general meeting to define an annual budget to realize the Association's purpose stipulated in Para. 2 e) of its constitution: 'the charitable support of students in need at EBS University'. A budget amounting to 10,000 Euro is set for 2020/2021. The Executive Board will account for the application of those funds in the next general meeting."

Statement of reasons:

Due to the Covid-19 pandemia and through no fault of their own, some students of the EBS Universität have gotten into financial difficulties over the past few months, i.e. because they could no longer practice their student job they need to earn their living or because their parents were no longer able to support them financially as they used to before. To being able to realize the Association's purpose stipulated in Para. 2 e) of its constitution: 'the charitable support of students in need at EBS University', the Executive Board is requesting the general meeting to approve a specific budget. A fixed limit of the budget is supposed to be provided to those students who have gotten into difficulties and who have applied for the support. Each student who has gotten into difficulties and who applies for the support shall be entitled to a fixed limit of the budget in order to ensure the proper termination of their studies at EBS Universität. Ideally, the financial support of EBS Alumni works as an addition to government funding.

Video conference of the General Meeting 
The information about the video conference will be published on time with a separate mailing.

Online voting 
All members entitled to vote receive an e-mail with the personal voting link to the e-mail address to which we also send this invitation. You will then be able to vote online. More information on online voting and voting will be provided with the voting link.

Postal vote 
Postal ballot papers will be sent to the club office on request. The completed ballot must be available to the chairman of the meeting at the latest at the beginning of the General Meeting. To ensure this by post, the completed paper ballot must be received by the club office by noon on Friday, November 6, 2020. The counting of the votes of absentee ballots takes place within the framework of the Assembly under the supervision of the electoral leadership.

Power of attorney 
Pursuant to the Articles of Association, each member entitled to vote may authorize another voting member to exercise their voting rights. The number of authorizations received limits the statutes to two per voting member. The power of attorney must be in written format and be available to the chairman before the beginning of the meeting.

The representation refers to all topics that will be decided in the course of the General Meeting. The authorization must be issued separately for each General Meeting. We recommend this procedure: Get the consent of the member to be authorized by you and then give him the power of attorney (click here). Please note that e-mails (office@ebs-alumni.de), faxes (+49 (0) 611-945883-20) and mail (EBS Alumni eV, Gustav-Stresemann-Ring 3, 65189 Wiesbaden) sent to the club office can only be considered until Friday, November 6, 2020, at 12 p.m. Thereafter, the authorized representative must present the original signed power of attorney to the chairman of the meeting immediately prior to the beginning of the meeting.

Please make use of your right to vote! 
Of course, we will inform you at the latest in the December issue of our newsletter about the results of the General Meeting. You can find the minutes of the last ordinary general assembly here and the corresponding transparency report for 2019 here. We will send the current transparency report and the report of the cash auditors before the general meeting.
